License Agreement

Definitions

  • "Item" refers to the digital product(s) purchased or downloaded, including but not limited to the Power BI UI Kit, Tableau Templates, and Tableau UI Kit.
  • "End Product" refers to a customized implementation of the Item, such as a completed dashboard prototype in Figma or a built dashboard in Tableau or Power BI.
  • "User" refers to the individual or entity purchasing or downloading the Item.
  • "Nudge BI LLC" refers to the company owning and providing the licensed products.

Grant of License

This license grants the User an ongoing, non-exclusive, worldwide license to utilize the Item, subject to the terms outlined below.

Permitted Uses

  1. The User may use the Item to create unlimited End Products for personal, commercial, or client use.
  2. The User may combine the Item with other works and create derivative works. All resulting works are subject to this license.
  3. The User may share the Item within their organization or team only if a Team License has been purchased. Team Licenses allow unlimited editors/creators within the organization unless otherwise specified.
  4. The User may publish the Item in a private team library or internal platform for collaborative purposes, provided a Team License has been purchased.

Examples of Allowed Uses

  • Designing dashboard prototypes in Figma or building dashboards in Tableau or Power BI for personal or client use.
  • Using the Item as part of an internal dashboard design or visualization system.
  • Integrating the Item into internal workflows to enhance organizational design consistency.
  • Creating client-facing dashboard concepts or presentations using the Item.

Restrictions

  1. Redistribution: The User may not sell, sublicense, distribute, or otherwise grant rights to the Item in its original or modified form. This includes:

    • Publishing the Item or its assets online.
    • Sharing with unlicensed users.
    • Including the Item in a UI kit, template, or similar product for sale or free distribution.

  2. End Product Limitations: The User must not permit end users of the End Product to extract and use the Item separately.

  3. Solo License: Users with a Solo License may not share the Item with others or grant editing access to team members.

  4. Group Purchases: Participation in "group buys" or similar unauthorized sharing methods is strictly prohibited.

  5. Public Distribution: The User may not publish the Item or derivatives on public platforms or repositories accessible to unlicensed users.

  6. Embedding in Public Tools: The User may not embed the Item or its components in publicly accessible Tableau Public or Figma libraries.

Specific Prohibited Uses

  • Creating competing products, such as a UI kit, templates, or starter kit.
  • Using the Item to develop tools or frameworks for other platforms or software.
  • Sharing the Item or its assets as part of a "group buy" arrangement.
  • Modifying the Item superficially and redistributing it.

License Extensions

The User may upgrade their license to include additional users or expanded rights. To upgrade, contact support at the email address provided in this agreement. License extensions may include:

  • Increasing the number of authorized users.
  • Adding additional rights for broader distribution within an organization.

Enforcement

  • The copyright for all Items is retained by Nudge BI LLC.
  • Unauthorized use of the Item outside the scope of this license may result in license revocation and legal action.
  • The User agrees to be financially liable for unauthorized distribution or use, including a penalty of $10,000 per offense.
  • Nudge BI LLC reserves the right to pursue additional legal remedies to protect its intellectual property, including claims for damages and injunctions against unauthorized use.

Returns and Refunds Policy

Refunds are not available for any reason. Due to the nature of digital products, once they are downloaded, they cannot be returned, and access to the product cannot be revoked. This policy ensures fairness and protection for both Nudge BI LLC and its users.

If you have concerns or issues with the product, please contact support, and we will strive to assist you within reasonable limits.

Limitation of Liability

  1. The liability of Nudge BI LLC is strictly limited. Nudge BI LLC is not liable for consequential damages or third-party claims arising from the use of the Item.
  2. The User acknowledges that the Item is provided "as is" without warranties of any kind, either express or implied, including but not limited to merchantability or fitness for a particular purpose.

Acceptance and Binding Agreement

This agreement constitutes the entire agreement between the User and Nudge BI LLC. By purchasing or downloading the Item, the User agrees to be bound by these terms and conditions. No oral or written representation outside this agreement shall have any effect or create obligations not included herein.
